Provider Agreement
Draft for review by a Texas attorney. Operator legal identity and contact email must be completed before launch.
Operator: Easy Towings (individual operator; no company entity identified). Contact: [contact email]. Governing state: Texas; county: Dallas County. Last updated: 2026-10-29. Version: 2026-10-28.
1. Application and independent relationship
This Agreement applies to company, dispatcher and independent-driver accounts and supplements the Terms and Privacy Policy. You accept for yourself and, if acting for an organization, represent you are authorized to bind it. You are an independent service provider, not an employee, agent or partner of Easy Towings or Easy Towings. The platform only connects parties; it does not dispatch, supervise, control your work or set prices. You decide whether to bid and contract directly with customers. Payments are direct and Easy Towings charges no fees or commissions.
2. Licenses, permits and operating authority
You represent and warrant that you hold and will maintain ALL licenses, permits and authority required for each service and place where you operate, including applicable Texas TDLR tow-company licenses, individual tow-truck permits and operator licenses, local/county permits, and USDOT/MC operating authority when required. A submitted DOT or MC number and platform listing are not verification. Do not offer services outside your legal authority or capability. Dispatchers must ensure the actual performing company, driver and vehicle comply.
3. Insurance and lapses
Maintain commercial auto, garage keepers, cargo/on-hook and general liability insurance as applicable to your operations, at least at all legal minimums and with coverage for the actual services and vehicles. Texas TDLR tow-truck minimums depend on permit type: consent towing — $300,000 liability (TDLR does not require cargo/on-hook for this category); private-property towing — $300,000 liability and $50,000 cargo/on-hook; incident-management towing — $500,000 liability and $50,000 cargo/on-hook. Public-roadway towing may require incident-management authorization even with customer consent. These are regulatory floors, not guaranteed adequate coverage; other services and jurisdictions may require different or higher limits. Provide current certificates, permits and evidence of authority on request. Notify [contact email] within 48 hours of any lapse, cancellation, suspension or material coverage change, and STOP USING THE PLATFORM FOR AFFECTED SERVICES IMMEDIATELY upon any license, permit or insurance lapse. The 48-hour notice period is not permission to operate.
4. Your operational responsibilities
You alone are responsible for your drivers, employees and subcontractors; vehicles and equipment; legally required background checks and drug/alcohol testing; training, safe driving and work; vehicle/property damage and injuries; prices, invoices, refunds and cancellation terms; taxes, wages and benefits; and all laws, including towing-price limits, consent documentation and non-consent towing/storage rules. Obtain customer authorization and clearly confirm scope and final price before work. Never use a roadside request to authorize an unlawful non-consent tow. Do not use the app while driving or misrepresent qualifications or arrival estimates.
5. Customer data and communications
Use customer information only to evaluate or perform the requested service and meet lawful recordkeeping duties. Do not sell it, market to customers without separate lawful consent, expose private tracking links, or share it beyond persons who need it for the job and are bound to protect it. Protect phones, photos and precise locations; follow privacy/security laws and promptly report misuse or a breach to [contact email]. Obtain any consent needed for your calls or texts and honor STOP requests. Provide truthful status/location updates; stop sharing GPS after the job or when appropriate.
6. Defense, indemnity and suspension
To the fullest extent permitted by law, you will defend, indemnify and hold harmless Easy Towings and those acting for Easy Towings from third-party claims, damages, penalties and reasonable legal costs arising from your services, vehicles, drivers, employees/subcontractors, injuries or property damage, noncompliance or misrepresentations. This excludes the protected party’s own unlawful conduct and liabilities that law prohibits shifting. We provide reasonable notice/cooperation; no settlement may admit fault or impose obligations for us without written consent. Easy Towings may suspend or terminate access at its discretion for safety, compliance, suspected abuse or breach, subject to law. Acceptance does not constitute approval, verification or a guarantee of jobs. You must notify us of changed qualifications and may not evade a suspension.
7. Disputes, arbitration and governing law
For disputes with Easy Towings (not your separate provider contract), first send a written description, requested relief and contact details to [contact email]. Both sides will try in good faith to resolve the dispute for 30 days after receipt; applicable filing deadlines are tolled during that period where lawful. Either side may use an eligible small-claims court instead. Otherwise disputes will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA), under its Consumer Arbitration Rules for consumer disputes and applicable Commercial Arbitration Rules for nonconsumer business disputes, subject to mandatory law and AAA due-process standards. Rules: https://www.adr.org/rules-forms-and-fees/consumer/; AAA: 1-800-778-7879. The Federal Arbitration Act governs arbitration. An independent arbitrator may award all individual remedies available by law; courts decide enforceability and scope. Hearings may be remote or at a reasonably convenient location, not necessarily Dallas. We pay fees allocated to us by AAA and law and additional fees needed to make consumer access affordable. YOU AND WE WAIVE A JURY TRIAL AND CLASS OR REPRESENTATIVE PROCEEDINGS IN ARBITRATION, to the extent lawful; this does not waive nonwaivable public relief. You may opt out by emailing [contact email] within 30 days of first accepting, with your name, account email or request reference and a clear opt-out statement; no penalty applies. If AAA declines administration and no lawful mutually agreed substitute is available, either side may proceed in court. If the class waiver is unenforceable for a claim, that claim proceeds in court, not class arbitration. Courts may grant provisional relief when allowed. Claims outside arbitration may be brought in a court with jurisdiction in Dallas County, Texas, unless mandatory law requires another venue. The Terms’ lawful liability limits, severability, changes and entire-agreement provisions also apply. Texas law governs subject to federal law and nonwaivable protections. Contact: [contact email].
